My client is a highly-regarded law firm doing sophisticated middle-market M&A - think PE buyouts, strategic acquisitions, growth investments, and sell-side representations across entertainment, tech, consumer, healthcare, and aerospace.
This is a senior operating seat. They're looking for the right person to come in and start running from Day 1. You'll run deals day-to-day - managing due diligence, drafting and negotiating definitive agreements, coordinating specialty teams, and serving as a primary contact for clients and opposing counsel. Deal teams are lean (partner + associate + paralegal), so you carry real weight. No hand-holding. For the right person, this is a direct path to partnership - a Gibson Dunn alum made partner here in ~2 years.

Responsibilities:
• Draft and turn around transactional documents (SPAs, asset purchase agreements, LLC agreements, stockholder agreements, NDAs, employment agreements, ancillary acquisition docs)
• Join Zoom calls with clients
• Receive direct partner mentorship
• Coordinate closing documents
• manage changes
• Keep deals moving
• Interface with opposing counsel and clients regularly
Requirements:
• 6 - 8 years of experience post-JD as a corporate or M&A associate at an AmLaw firm or top boutique
• Must be able to independently manage transactions end-to-end, not just participate on them.
• Client-ready presence, strong judgment, responsive, and personable.
