[Remote] Contract Management Expert – BPO/ITO

The role involves overseeing the full lifecycle of complex contracts, acting as a key advisor to senior leadership, and collaborating across departments to optimize contract outcomes. Responsibilities • Act as primary point of contact for contract-related issues with clients, vendors, and internal stakeholders • Draft, review, and negotiate complex outsourcing agreements, including: • SOWs, including scope descriptions, service level agreements, pricing methodology, and transition/transformation terms • Pricing schedules, subcontractor agreements, and data privacy terms • Contribute to the drafting and negotiation of related agreements, including: • MSAs, NDAs, Subcontracts and technology agreements • Serve as the content expert on complex governing outsourcing agreements, including: • MSA, SOW, Work Order status & obligations tracking • Contract Change Control • Risk & Issue Management • Contribute to the drafting and negotiation of related agreements, including: • MSAs, SOWs, Work Orders, NDAs, subcontracts and technology agreements • Collaborate with internal stakeholders (legal, sales, finance, operations, compliance, and delivery teams) to align contract terms with business objectives • Advise on legal and commercial risks in contracts and propose mitigations • Ensure compliance with applicable laws, industry standards, and company policies in all contractual arrangements • Support pre-sales and bid teams with contractual input during RFP/RFI processes • Lead negotiations with customers, vendors, and partners globally including change orders, often under tight timelines • Assist in the development and refinement of contract templates and negotiation playbooks specific to BPO and ITO engagements • Mentor and guide junior contract management staff as needed • Uphold company values and contribute to a culture of integrity, collaboration, and continuous improvement • Provide contract awareness education to delivery leads Skills • Bachelor's degree; Juris Doctor (JD) or Masters in Business Administration (MBA) preferred • 15+ years of experience in contract drafting, negotiation, and management within the BPO and/or ITO sectors • Experience managing global contracts and cross-border transactions • In-depth knowledge of outsourcing contracts and industry-specific contractual nuances • Proven track record of leading high-value contract negotiations • Familiarity with international commercial contract law and cross-border transactions • Strong analytical, problem-solving, and communication skills • Attention to detail and ability to work independently in a fast-paced environment • Excellent stakeholder management and interpersonal skills • Commercial acumen and ability to balance legal and business risks • Proficiency in contract lifecycle management tools, Microsoft Office Suite, AI tools and contract lifecycle management (CLM) tools • Certified Commercial Contracts Manager (CCCM) or Certified Professional Contracts Manager (CPCM) preferred • Experience with PCI, GDPR, HIPAA, or other relevant data protection regulations • Prior in-house counsel or contract management experience with a BPO or ITO service provider • Knowledge of industry-standard frameworks (e.g., ITIL, ISO certifications) as they pertain to contract terms Benefits • Competitive compensation • Flexible work arrangements Company Overview • Mphasis is an IT services company that offers blockchain, cyber security, product engineering, DevOps, and other services.
