The Associate Counsel role involves taking ownership of various legal responsibilities, including contract negotiation and compliance, while providing legal guidance across the business.
Responsibilities
- Draft, review, and negotiate a variety of commercial agreements, including License Agreements, Cloud-Hosting/SaaS agreements, professional services agreements, strategic partnership agreements, NDAs, &c
- Support government contracting processes, including RFP responses, contract review, and negotiation with public sector customers
- Assist with product-related legal issues, including accessibility, data privacy, and security considerations related to cloud-based software
- Provide practical, business-oriented legal guidance to internal stakeholders
- Help identify legal risks and propose solutions that align with business objectives
- Assist with corporate governance, compliance initiatives, and other general legal matters as needed
Skills
- 1–4 years of legal experience, or an exceptional recent graduate with relevant experience
- Strong drafting and contract review skills
- Ability to manage multiple matters and work independently in a fast-paced environment
- Strong communication skills and sound judgment
- Interest in technology, software products, and/or government contracting
- Experience working within Agile teams or formal training in Scrum or Agile methodologies is a strong asset
- SaaS and software-related contracting, ideally in the context of government procurement
- Data privacy, cybersecurity, and cloud compliance
- Intellectual property or product counseling
